Throughout these Terms, the following definitions apply:

By using the Platform, you represent and warrant that:

• You are at least 18 years of age and capable of forming binding contracts
• You are accessing the Platform on behalf of a legally registered business entity with authority to bind such entity
• You are not barred from receiving services under applicable Indian laws
• All information you provide is accurate, current, and complete

To access certain features, you must register for an account:

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts with inaccurate information

For Vendors: Account approval requires submission of valid business registration documents, GST certificate, and verification of manufacturing/distribution authorization.

MechAxis grants you a limited, non-exclusive, non-transferable license to:

• Browse robot listings and compare specifications
• Use the ROI calculator and other tools provided
• Submit quote requests to Vendors
• Save and manage comparison lists

You agree not to:

• Use automated systems (bots, scrapers) to access the Platform without written permission
• Interfere with the proper working of the Platform
• Attempt to gain unauthorized access to any part of the Platform
• Use the Platform for any illegal or unauthorized purpose

When you submit a quote request:

When you receive a quote request:

• Your contact information is shared with the selected Vendor(s)
• You agree to respond to quote requests within 24 business hours
• You consent to be contacted by Vendors via email, phone, or WhatsApp
• All communications must comply with applicable telemarketing and spam regulations
• MechAxis does not guarantee the accuracy of Vendor quotes or the quality of robots

Buyers acknowledge that:

• Robot specifications should be verified with Vendors before purchase
• Site visits and demonstrations are recommended for high-value purchases
• Import duties, installation, and integration costs may apply additionally

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, or defamatory content
• Harassing, threatening, or discriminating against other users
• Circumventing the Platform to complete transactions offline to avoid fees
• Uploading viruses, malware, or other harmful code
• Collecting user data without consent
• Impersonating any person or entity
• Using the Platform for competitive intelligence in violation of these Terms

Violation of these conduct rules may result in immediate account termination and legal action.

MechAxis retains all rights to the Platform, including:

• Software, code, algorithms, and databases
• Logos, trademarks, and brand elements
• User interface designs and layouts
• Content created by MechAxis (excluding Vendor listings)

Vendors retain ownership of their product images, descriptions, and trademarks. By listing on the Platform, Vendors grant MechAxis a non-exclusive, royalty-free license to display this content for platform operation and marketing purposes.

The comparison tool, ROI calculator, and recommendation algorithms are proprietary trade secrets of MechAxis. Reverse engineering or unauthorized access is strictly prohibited.

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, and protect your data under the Digital Personal Data Protection Act, 2023.

Key commitments:

• We process personal data only for specified, explicit, and legitimate purposes
• We implement reasonable security safeguards to protect your data
• We do not sell your personal data to third parties
• You have the right to access, correct, and delete your personal data

Vendors accessing Buyer data through quote requests must:

• Use such data solely for responding to the specific inquiry
• Not add Buyers to marketing lists without explicit consent
• Not share Buyer data with unauthorized third parties
• Comply with all applicable data protection laws

To the maximum extent permitted by law:

• MechAxis provides the Platform "as is" without warranties of any kind
• We do not guarantee the accuracy of Vendor listings or specifications
• We are not liable for any direct, indirect, incidental, or consequential damages arising from Platform use
• We are not responsible for disputes between Buyers and Vendors
• Our total liability shall not exceed the amount paid by you to MechAxis in the preceding 12 months, or ₹10,000, whichever is higher

You agree to indemnify and hold harmless MechAxis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform in violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Platform
• Your interactions with other users
• Inaccurate or misleading product listings

You may terminate your account at any time by contacting us. MechAxis may suspend or terminate your account immediately for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Non-payment of fees (for Vendors)
• Requests from law enforcement or government agencies

Upon termination:

• Your right to use the Platform ceases immediately
• We may delete your account data subject to legal retention requirements
• Provisions regarding intellectual property, liability, and indemnity survive termination
• Active listings are removed from the Platform

Any dispute arising from these Terms shall be resolved as follows:

• Negotiation: Parties shall first attempt to resolve disputes through good faith negotiation for 30 days
• Mediation: If negotiation fails, parties shall attempt mediation under the Indian Arbitration and Conciliation Act, 1996
• Arbitration: Unresolved disputes shall be settled by binding arbitration in Bengaluru, India

Arbitration shall be conducted in English by a sole arbitrator appointed by the Indian Institute of Arbitration and Mediation. The award shall be final and binding.

Notwithstanding the above, MechAxis may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Subject to the dispute resolution clause above, any legal action shall be brought exclusively in the courts of Bengaluru, Karnataka.

MechAxis reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform.

Material changes will be notified via:

• Email to registered users
• Prominent notice on the Platform
• Updated "Effective Date" at the top of these Terms

Continued use of the Platform after changes constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use immediately.
